- Tata Sons AGM Postponed In Mumbai | N Chandrasekaran Reappointment Stalled

The Annual General Meeting of Tata Sons has been called today on 18th August at ‘Bombay House’, the headquarters of Tata Group in Mumbai. Tata Sons Chairman N Chandrasekaran has arrived to attend the meeting, but due to legal and technical hurdles, this meeting may be postponed without any decision.

Question 1. Why can Tata Sons’ AGM scheduled for today, August 18, be postponed?
Answer: According to the Articles of Association of the company, for the quorum of the AGM to be complete, at least 5 members must be present in person. In this, it is mandatory to have a jointly nominated representative of Sir Ratan Tata Trust (SRTT) and Sir Dorabji Tata Trust (SDTT).
Due to absence of board meeting, these trusts have not been able to decide the joint representative. This rule is applicable as long as both the trusts hold at least 40% stake in Tata Sons. Currently SRTT and SDTT together hold 51% and the entire Tata Trusts network holds 66%.
Question 2. Why is Sir Ratan Tata Trust not able to hold its meeting?
answer: The Maharashtra Charity Commissioner had issued directions in May regarding an inquiry into the SRTT board formation. Since then the Trust meeting has not been held. For this reason the name of the joint representative could not be approved.
Question 3. This entire legal dispute is related to which law and rule?
answer: This matter is related to Section 30A (2) of the Maharashtra Public Trusts Act, which was brought through the amendment of 2025. This rule limits the number of lifetime or permanent trustees on the board of a public trust to one-fourth (25%) of the total trustees. SRTT argues that this rule is new and cannot be applied to old appointments.
Question 4. If AGM is postponed, then which main decisions of the company will be affected?
answer: Three important agendas will get stuck due to postponement of the meeting:
- Adoption of financial statements for the financial year 2025-26.
- Declaration of dividend for shareholders.
- To approve the re-appointment of retiring director N Chandrasekaran under rotation.
Question 5. What will be the status of N Chandrasekaran’s post and successor?
answer: N Chandrasekaran had made it clear on August 12 that he was stepping down from the post of ‘Chairman’ of Tata Sons and would not seek the next term. But he is also a ‘director’ of Tata Sons. According to the rules, if the AGM is adjourned, he will continue to hold the post of director until the next meeting is held. At the same time, on August 13, SDTT had passed a proposal to form a committee to elect a new chairman, but due to non-availability of SRTT meeting, the process of electing a new chairman may also get stuck.
Question 6. Is there any clarity in the rules of Tata Sons regarding postponing the meeting?
answer: Under Article 87, there is a provision to postpone the meeting if there is no quorum. However, legal experts say that if the joint representative of SRTT-SDTT is not appointed further, then there is no clear mention in the rules on how the adjourned meeting will be carried forward.

answer: Over the past year, there have been differences among the trustees over board representation, appointment of new trustees, possible listing of Tata Sons and capital allocation in businesses like Air India, Tata Digital and Tata Electronics. - Venu Srinivasan: Due to lack of consensus, he resigned from Bai Hirabai Charitable Trust in April.
